Terms of Service
The rules for using our website, our billing desk and our text messages.
Agreement
These terms apply to opord.co, the OpOrd billing desk at app.opord.co, the signing pages we link to, and the emails and text messages we send (together, the “Services”). They are an agreement between you and Everly Mews LLC, a Wyoming limited liability company, doing business as OpOrd (“OpOrd,” “we,” “us”). By using the Services, you agree to these terms and to our Privacy Policy. If you don’t agree, please don’t use the Services.
Our services
OpOrd provides managed month-end billing for commercial subcontractors: requesting and following up on lien waivers and compliance documents, checking them, assembling pay application packages, and preparing them for our client’s review and signature.
Paid work for a client is governed by a separate written agreement with that client. If that agreement conflicts with these terms, the agreement controls for that client.
No legal or financial advice
We prepare documents on the forms our clients and their general contractors require. We do not provide legal, lien-rights, notice-deadline, tax, accounting or financial advice, and nothing on the Services is such advice. Decisions about lien rights, statutory forms, notices, disputes and payment terms belong to our clients and their attorneys and advisers. We don’t sign, submit or waive anything on a client’s behalf without that client’s approval.
Text message terms
These terms apply to OpOrd billing texts, sent by OpOrd, a trade name of Everly Mews LLC.
- What we send. Operational messages about month-end billing for our clients’ projects: requests for progress numbers, lien waiver requests and reminders, links to review and sign documents, and confirmations of submissions and payments. We don’t send marketing texts.
- Who receives them. Owners and staff of OpOrd clients, and the billing contacts of their vendors and suppliers, who have opted in.
- How you opt in. By submitting the form on our text messages page with the consent box checked, or by telling us in writing that you agree to receive our billing texts. Consent is not a condition of any purchase.
- Frequency. Message frequency varies with the billing cycle.
- Cost. Message and data rates may apply. OpOrd does not charge for texts.
- Opting out. Reply STOP to any message to stop receiving texts; STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work. We’ll send one message confirming you’re unsubscribed. Reply START to opt back in.
- Help. Reply HELP for help, or contact us at [email protected].
- Carriers. Carriers are not liable for delayed or undelivered messages.
- Your number. Tell us if you change or give up your mobile number, so we don’t text someone else. You agree you are the subscriber of the number you give us, or are authorized to use it.
- Privacy. Our Privacy Policy explains how we handle mobile numbers. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
- Changes. We may change or end the program. We’ll tell you by text before a change that affects you.
Acceptable use
You agree not to:
- submit false, misleading or someone else’s information, including a phone number you aren’t authorized to use;
- send spam or automated submissions through our forms;
- try to access parts of the Services you aren’t authorized to use, or test, probe or disrupt their security;
- upload malicious code, or use the Services in violation of any law.
The billing desk
The billing desk is for people we have authorized. Keep your sign-in to yourself and tell us right away if you think someone else has used it. Signing links we send are meant for the person they were sent to; don’t forward them.
Intellectual property
The Services, including their design, text, graphics, film and software, belong to Everly Mews LLC or its licensors and are protected by law. “OpOrd” and the OpOrd ring are our marks. You may view and share pages for ordinary, non-commercial purposes; any other use needs our written permission. Documents a client gives us remain the client’s.
Third-party services
Parts of the Services rely on providers such as Cloudflare, Quo, Google, BoldSign, Plaid and Anthropic, and some links lead to other websites. Their own terms apply to their services, and we aren’t responsible for third-party sites we don’t control.
Illustrative content
Calendars, examples, names, figures and scenes in our website and film are illustrative unless we say otherwise; they are not client data or results. Industry statistics are attributed to their sources, and you should rely on those sources for their accuracy.
Disclaimers
Except as stated in a written agreement with a client, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the Services will be uninterrupted or error-free, or that general contractors or owners will accept a package or pay on any schedule — payment timing is controlled by them.
Limitation of liability
To the fullest extent the law allows, OpOrd will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, arising from your use of the Services. Apart from obligations under a written client agreement, our total liability for any claim relating to the Services is limited to one hundred U.S. dollars. Some jurisdictions don’t allow these limits, so they may not apply to you.
Governing law
These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, except where the law of your place of residence requires otherwise.
Changes
We may update these terms. We’ll post the new version here with a new “last updated” date. If you keep using the Services after a change, the updated terms apply.
